These Terms of Service (“Terms”) govern your use of merchantcodex.com (the “Site”) and the MerchantCodex membership community (the “Service”), operated by FeedArmy Co., Ltd. based in Roi-Et, Thailand (“we,” “us,” “our”). By creating an account or purchasing a membership, you agree to these Terms.


1. The Service

MerchantCodex is a paid membership community providing educational content about Google Shopping, Google Merchant Center, product feeds, and Google Ads. Membership includes, depending on your tier: access to an expert Q&A forum, structured video courses, downloadable resources, a searchable answer archive, and policy update alerts. All forum answers and consultation work are provided personally by Emmanuel Flossie.

Depending on your membership tier, the Service also includes the MerchantCodex Tool, a Google Sheets-based application that connects to your Google Merchant Center account to display your product data and generate AI-assisted suggestions for product titles, descriptions, highlights, and other listing attributes. AI-generated suggestions are provided for your review and require your explicit approval before being applied to your live Merchant Center account. Use of the MerchantCodex Tool is subject to Section 5a (AI Generation Limits and Fair Use) and the new section on Google Account Connection below.

2. Eligibility and Accounts

You must be at least 18 years old and able to enter a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Accounts are for a single individual (Merchant tier) or a single agency team (Agency tier). Sharing login credentials outside these limits is prohibited and may result in termination without refund.

3. Membership Tiers, Billing, and Renewal

Tiers and pricing:

  • Merchant — recurring monthly subscription
  • Agency — recurring monthly subscription

Current pricing is displayed on our Membership Levels page. Subscriptions renew each month automatically until canceled. By subscribing, you authorize us to charge your payment method via Stripe on each renewal date.

Price changes: We may change regular pricing with at least 30 days’ notice.

4. Question Limits and Fair Use

  • Merchant members may post 2 new questions per week; Agency members may post 5 new questions per week.
  • Unused questions do not roll over.
  • Follow-up replies within your own threads are unlimited.
  • The forum is for educational and strategic questions only. Account-specific diagnosis (e.g., review of your specific Merchant Center account, suspension, or feed file) is not provided in the forum and is available only through the Suspension Audit service.
  • Memberships may not be used to resell our answers, content, or guidance as your own consulting service.

We reserve the right to address abuse of these limits, including refusing questions that circumvent the educational-only rule.

5. Google Account Connection, Data Access, and AI-Generated Content

Connecting your account. To use the MerchantCodex Tool, you must connect your Google account and grant MerchantCodex access to your Google Merchant Center data through Google’s own authorization process. You control this connection and may revoke it at any time via your Google Account permissions page or by disconnecting within the Tool. Our collection and use of data obtained through this connection is described in our Privacy Policy.

AI-generated content. The MerchantCodex Tool uses a third-party AI service (currently Anthropic’s Claude) to generate suggested product titles, descriptions, highlights, product details, categorization, and related listing content based on your product data. AI-generated suggestions:

  • Are not automatically applied to your live Merchant Center account — they require your explicit review and approval through the Tool’s approval workflow before being applied.
  • Are provided “as is,” without any guarantee of accuracy, completeness, or compliance with Google Merchant Center policies.
  • Are your sole responsibility to review before approving. You remain responsible for ensuring any content applied to your Merchant Center account complies with Google’s policies and accurately describes your products.

We are not liable for any consequences of applying AI-generated content to your account, including but not limited to product disapprovals, policy violations, or account suspensions. See Section 12 (Limitation of Liability).

Prohibited uses. In connection with the MerchantCodex Tool, you agree not to: reverse engineer, decompile, or attempt to extract the underlying prompts, instructions, or logic used to generate AI content; use automated means to exceed your plan’s generation limits or otherwise circumvent usage restrictions; or use the Tool to provide AI-generation services to third parties outside the scope of your own membership (or, for Agency members, your own clients’ accounts).

5a. AI Generation Limits and Fair Use

The MerchantCodex Tool’s AI generation features are available only to Merchant Plus and Agency Plus tier members. Merchant and Agency tier members may use the Tool’s non-AI features but do not receive an AI generation allowance.

  • Each Plus-tier plan includes a monthly AI generation allowance, as described on our Membership Levels page.
  • Unused monthly generations do not roll over and reset at the start of each billing cycle.
  • We may, at our discretion, grant additional generations outside your monthly allowance; these do not expire monthly.
  • We reserve the right to address abuse of these limits, including suspending access to the Tool for accounts found to be circumventing usage restrictions.

6. Intellectual Property and Content License

All content on the Site, including forum answers, courses, videos, downloadable resources, and written materials, is owned by Emmanuel Flossie / MerchantCodex and protected by copyright.

Your membership grants you a personal, non-exclusive, non-transferable, revocable license to access and use the content for your own business purposes (or, for Agency members, in service of your clients’ accounts) while your membership is active. You may not copy, republish, redistribute, resell, or publicly share members-only content, course materials, videos, or downloads. Downloadable resources are watermarked with your member name.

Content you post: You retain ownership of content you post in the forum. By posting, you grant us a perpetual, worldwide, royalty-free license to display, reproduce, and adapt your posts within the Service, including retaining questions and discussion threads in the community archive after your membership ends, and displaying question titles and excerpts publicly. You may request anonymization of your posts as described in our Privacy Policy.

7. Community Conduct

You agree to follow the Community Rules posted in the forum, including: educational questions only, respectful conduct, no self-promotion or solicitation, no posting of confidential third-party data, and no spam. We may remove content or suspend or terminate accounts that violate these Terms or the Community Rules. Termination for violation does not entitle you to a refund.

8. No Guarantees; Not Professional Advice

Content and answers provided through the Service are for educational and informational purposes. While answers are based on extensive professional experience and verification against Google’s documentation:

  • We do not guarantee specific business results, account reinstatements, product approvals, ad performance, or revenue outcomes.
  • Google’s platforms, policies, and enforcement change frequently and are outside our control. Information accurate at the time of posting may become outdated.
  • Nothing in the Service constitutes legal, tax, or financial advice.

You are responsible for decisions you make regarding your own business and accounts.

9. Third-Party Platforms

MerchantCodex is independent and is not affiliated with, endorsed by, or sponsored by Google or Shopify. “Google,” “Google Ads,” “Google Merchant Center,” “Shopify,”, “WooCommerce” and related marks are trademarks of their respective owners. References to expert recognitions (e.g., Google Product Expert program) describe Emmanuel Flossie’s participation in those programs and do not imply Google’s endorsement of this Service.

10. Cancellation and Refunds

Cancellation and refund terms are set out in our [Refund & Cancellation Policy], which forms part of these Terms.

11. Service Availability and Changes

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may modify, add, or remove features, content, or courses. Answer turnaround times vary; answers are provided asynchronously, with Agency members in a priority queue. We may discontinue the Service with at least 30 days’ notice to active members, in which case prepaid unused time will be refunded pro rata.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or account suspensions or terminations by third-party platforms.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, and nothing affects statutory consumer rights that apply in your jurisdiction.

This limitation applies equally to any claims arising from your use of the MerchantCodex Tool, including AI-generated content you choose to apply to your Google Merchant Center account.

14. Governing Law and Disputes

These Terms are governed by the laws of Thailand, without regard to conflict-of-law principles. Before initiating any formal dispute, you agree to contact us first at hello@feedarmy.com to attempt informal resolution.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by email or site notice at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
